By accessing and using the services of Inoram Design ("we," "us," or "our"), you accept and agree to be bound by the terms and provision of this agreement.
2. Services Description
Inoram Design provides professional plastic injection mold design services, including but not limited to:
- 2-plate and 3-plate mold designs
- Insert molds and hot/cold runner systems
- Custom automation and tooling design
- Design consultation services
- Technical documentation and specifications
3. Client Responsibilities
Clients agree to:
- Provide accurate and complete project specifications
- Make timely payments according to agreed schedules
- Provide necessary feedback and approvals in a timely manner
- Maintain confidentiality of proprietary design information
4. Intellectual Property
All custom designs created by Inoram Design become the property of the client upon full payment. However, we retain the right to use general design methodologies and techniques for future projects. Pre-existing intellectual property remains with Inoram Design.
5. Confidentiality
We respect client confidentiality and will not disclose proprietary information to third parties without written consent. Both parties agree to maintain confidentiality of sensitive business and technical information.
6. Payment Terms
Payment terms will be specified in individual project agreements. Generally:
- A deposit may be required before work begins
- Final payment is due before delivery of final files
- Late payments may incur additional fees
- All prices are in USD unless otherwise specified
7. Project Timelines
Project timelines are estimates based on scope and complexity. Delays may occur due to:
- Changes in project scope
- Late client feedback or approvals
- Technical challenges requiring additional research
- Force majeure events
8. Revisions and Changes
Minor revisions are typically included in project scope. Major changes or scope expansions may require additional fees and timeline adjustments, to be agreed upon in writing.
9. Limitation of Liability
Inoram Design provides design services based on industry standards and best practices. Our liability is limited to the amount paid for services. We are not responsible for:
- Manufacturing defects or production issues
- Third-party manufacturing decisions
- Indirect or consequential damages
- Loss of profits or business interruption
10. Quality Assurance
We strive to deliver high-quality designs that meet industry standards. However, final responsibility for manufacturing feasibility and production outcomes rests with the client and their chosen manufacturers.
11. Termination
Either party may terminate services with written notice. In case of termination:
- Payment is due for work completed to date
- Work-in-progress files may be provided at our discretion
- Confidentiality obligations continue post-termination
12. Dispute Resolution
Any disputes will be resolved through good faith negotiation first. If necessary, disputes will be subject to binding arbitration in Florida, USA, under American Arbitration Association rules.
13. Governing Law
These terms are governed by the laws of the State of Florida, USA, without regard to conflict of law principles.
14. Website Use
This website is provided for informational purposes. Users agree not to:
- Use the site for unlawful purposes
- Attempt to gain unauthorized access
- Distribute malware or harmful code
